1. GENERAL INFORMATION

The decision of the Czech People’s Bank (CNB) on the inclusion of ATAdel Fund s.r.o. in the CNB list and confirmation of the right to carry out asset management activities, in accordance with § 596 of the ZISIF letter and in accordance with § 15 of paragraph 1 of the ZISIF.
The registration number of the decision in the CNB: 2020/133984/CNB dated November 02, 2020. The activity is not controlled by CNB.

2. INVESTMENT STRATEGY AND GOALS

NFT REAL ESTATE FUND provides an opportunity for Investors to place their funds on the international commercial or private real estate market by purchasing shares of this real estate in the form of NFT with further income from the management of tokenized real estate or its resale.

The fund’s strategy is to tokenize investment real estate and transfer the right to own NFT tokens into the hands of qualified investors.

Management of investment properties in favour of NFT holders, real estate tokens.
Creation of an NFT auction, real estate tokens among members of the NFT Real Estate fund.

Ensuring additional profitability of the fund due to the possibility of instant exchange of ownership rights for investment real estate with the blockchain technology.

Tokenization facilities are located in Dubai, Barcelona, Madrid, Paris, London and Vienna.

Investments in the fund are designed to ensure the profitability of its medium-and long-term projects and therefore are not suitable for short-term speculation.

The investment goals are reflected in the recommended investment horizon, as well as the fund’s fees and income. Each investor of the fund can independently decide which investment projects are best suited for his investment portfolio, depending on the expected level of profitability and risk.

The expected annual return of the product is 11.0%, and the amount invested in the product is protected from loss of investment value, since tokenized real estate in the form of NFT is

transferred directly to the investor through the blockchain and stored on the Investor’s personal wallet. The Management Company exercises independent control over all operations for management of tokenized real estate in order to obtain profitability and has no access to alienation of real estate without a notarial order of the Investor.

All transactions are state registered in the country where tokenized real estate is located.

The Investor has the opportunity to transfer or sell tokenized real estate at his discretion by selling NFT tokens associated with it.

The assets of the Investors of the Management Company are strictly separated from their own activities and the assets of the Management Company.

Investors’ funds are credited to separate accounts from which targeted financing of projects is carried out, which provides additional transparency in the use of investments.

3. THE FUND’S REGULATOR

Management company ATAdel Fund s. r.o. It is registered with the Czech National Bank (CNB) in accordance with § 15 of Law No. 240/2013 of the Collection of Laws on Investment Companies and Investment Funds (ZISIF). The management company is obliged to fulfill its reporting obligations in accordance with paragraph 1 of Article 110 of the Delegated Regulation of the European Commission 231/2013 supplementing Directive 2011/61 / EC of the European Parliament and of the Council.

4. ASSET INSURANCE

-The amount of coverage is 100 million US dollars;
-Insurance is provided by a Syndicate of insurers in Lloyd’s of London and in the European market.

WHAT IS COVERED:

– Damage to the residence.
– Damage to permanent structures on the property or onsite property maintenance equipment.
– Lost rent payments if property repairs result in a temporary vacancy.
– Liability coverage if someone is injured on the property.
– Vandalism damage or if items you own are stolen from the property.
– Additional construction expenses to bring the building up to code compliance after it’s been damaged.
– Flood insurance
– Fire and earthquake insurance
– Manager’s liability insurance

5. TO WHOM THIS PRODUCT IS INTENDED

This product can only be purchased by a qualified investor in accordance with Section 272 (1) of the ZISIF. The product is suitable for investors who intend to replenish their portfolio with alternative types of investments, whose performance and risk profile are not directly related to the securities market. The product is not suitable for investors who require rapid monetization of their investments, if necessary, before the expiration of the planned investment horizon of the fund.

Investor’s investment horizon: 1 years The product is intended for investors who:

” understand the existence of the probability of events that do not depend on the management company, in which the loss of the creditworthiness of the fund may occur,

” are aware of and accept the possibility of changes in the markets that may lead to a decrease in the value and liquidity of the investment portfolio,

” understand the limited liquidity of their investment,

” have the knowledge and experience of investing in the financial market and the real estate market.

6. SUMMARY RISK INDICATOR (SRI)

The risk indicator assumes that the product has been owned for at least 1 years.
The actual risk may differ significantly if you request a premature return of the product. Thus, with an early refund of funds, you can receive an amount of money less than the amount invested in the fund.
The need for an early exit from the fund may be associated with additional costs on the part of the investor.

Description of the summary risk indicator SRI

The summary risk indicator is a guideline for the level of risk of this product compared to other products. It shows how likely it is that the cost of the product will decrease as a result of changes in the markets and, as a consequence, a decrease in the creditworthiness of the fund.
We have placed this product in Class 1 out of 7, the first highest risk class. This product is included in the corresponding risk class due to unchanged capitalization and liquidity indicators in the long- term historical period.

In addition, low-risk factors, in our opinion, are:

– the management company selects only highly liquid real estate objects for tokenization in countries with a high level of economic and political stability;
– the management company attracts leading real estate market valuation experts and valuation companies with a high international reputation;
– the management company provides insurance of tokenized real estate against all risks;
– the management company provides state registration of the encumbrance of real estate objects in favor of the owners of NFT tokens with confirmation of the ownership of real estate shares corresponding to a certain token.

This indicator evaluates the potential loss of future investments as a low probability and a low probability that there will be a decrease in the solvency of the fund under the influence of unfavorable market conditions.
The liquidity of this product may be affected by changes in market conditions, which the Management Company will not be able to influence.

7. YIELD SCENARIOS

The scenarios of future profitability are designed to be able to compare them with the scenarios of other products. Future profitability scenarios are based on past data. This product was founded in 2022. According to the current legislation, we are not allowed to show yield data for funds with an incomplete calendar year.

8. WHAT WILL HAPPEN IN THE EVENT OF INSOLVENCY OR LIQUIDATION OF THE MANAGEMENT COMPANY

The assets of investors transferred to management are not the property of ATAdel Fund s. r. o. and are separated from the property of ATAdel Fund s.r. o. All assets of investors are in investments or in separate accounts of ATAdel Fund s.r. o. In the event of insolvency or liquidation of the management company ATAdel Fund s.r. o., all assets of the fund will be divided among individual investors according to their share of the total assets invested in the fund.

9. WHAT ARE THE COSTS ASSOCIATED WITH THE INVESTMENT?

Total investment expenses include: one-time, current and additional expenses.
Summary expenditure indicator (RIY)
The Income Reduction (RIY) shows how the total amount of expenses that you will pay will affect the return on investment that you can receive. The expenses listed here represent the total amount of expenses for the product in three different periods of product ownership. They include possible payments in the event of an early return on investment.

The calculations are given taking into account that you are investing 1 000 000 CZK. These figures are approximate and may change in the future.

10. MINIMUM INVESTMENT PERIOD AND MINIMUM INVESTMENT AMOUNT

Minimum investment period: 1 years.
The minimum investment amount is CZK 100 000.

Since the strategy of this fund is aimed at investing in credit financing, this involves the participation of funds in the financial turnover of borrowers and is associated with the contractual terms of repayment of the loan. The management company recommends that investors keep the investment until it ends. The established minimum investment period is calculated taking into account the peculiarities of the turnover of funds in the market.

11. CONDITIONS FOR EARLY REFUND OF FUNDS

If an early termination of the investment agreement is necessary, the investor has the opportunity to return the investment through the ATAdel Fund trading platform in the investor’s personal account, putting his share of the investment for public sale.

12. THE PROCEDURE FOR EARLY RETURN OF INVESTMENTS AND THE POSSIBILITY OF EARLY RETURN OF INVESTMENTS

An early refund of funds to the investor is made after the purchase of his share by another ATAdel Fund Investor. The funds are credited to the investor to his current account specified in the investment agreement when signing it, or to any other account belonging to the investor

specified in the application for termination of the investment agreement. The funds are returned to the investor minus the investment management costs incurred by the investment company during the validity of the investment agreement.

Interest income accrued and paid to the investor is not subject to return to the fund, interest income accrued but not paid to the investor is not subject to payment to the investor, but is paid to the buyer of his share.
